Terms of engagement

These terms apply to Modelmatrixpoint Analytics, the practice at Level 6, 43 Melikishvili Street, Batumi 6000, Georgia, and to visitors who commission predictive business modeling, chart and board-pack work, seasonal forecast studies, or model reviews. They are written under the law of Georgia.

Acceptance

A brief filed through this sheet, a scoping visit, or payment of a deposit named in a written estimate is acceptance of these terms. If you do not accept them, do not file a brief and do not send books.

The work

We provide professional modeling and charting work as described on the engagement pages. We do not sell software, a subscription, a login, or a guarantee that a season will match a scenario. Estimates are informational. Nothing on this sheet is an offer to take card payment.

Intellectual property

Until the final fee named in the estimate is paid, working tables and draft packs remain the practice’s. After payment, you may use the pack and the tables for the decisions named in the brief, including internal copies and a bank meeting. You may not resell the drawings, publish them as a product, or present them as another house’s work. We may keep anonymised methods and the fact of the engagement. We will not publish your occupancy or stock figures.

Confidentiality

Night audits, till tapes, and workbooks you send are treated as confidential and are kept for the period in the privacy notice. We will not use a competitor’s unpublished rates in a model.

Liability

We prepare forecasts and charts with care from the series you supply. We are not liable for trading losses, missed allotments, or loan decisions taken on a scenario. Our aggregate liability for an engagement is limited to the fee paid for that engagement, except where Georgian law forbids a limit (including liability for wilful misconduct). Nothing here excludes liability that cannot be excluded.

Your materials

If the series are incomplete, late, or not yours to share, the timeline moves and we may stop. You warrant that you have the right to show us the books. Stolen or secretly copied competitor files will end the engagement.

Governing law

These terms are governed by the law of Georgia. Disputes that cannot be settled in the rooms shall be submitted to the courts of Batumi, except where a mandatory rule of Georgian law requires another forum.

Changes

We may amend these terms by publishing a new page. Work already under a signed estimate follows the terms in force on the estimate date.
